Terms of Service

These Terms of Service ("Terms") govern your access to and use, within the United States and its territories and possessions, of the applications, websites, content, products, subscriptions, and services (the "Services") provided by Cardinal Fez, Inc. (dba Jeevz and dba Dryver) and its affiliates, subsidiaries, parents, successors, assigns, and their respective officers, directors, employees, agents, and shareholders (collectively, "Jeevz/Dryver"). References to "you" or "your" include the Account Holder and any Authorized Users listed on the Account, subject to the limits and conditions set forth in Section 4 below.

PLEASE READ THESE TERMS CAREFULLY, AS THEY CONSTITUTE A LEGAL AGREEMENT BETWEEN YOU AND JEEVZ/DRYVER. By creating an Account or accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you may not access or use the Services.

Definitions

"Account" means the personal user account you create to access and use the Services.

"Account Holder" means the individual who creates the Account and is the primary subscriber.

"Applications" means the mobile applications, websites, and related platforms provided by Jeevz/Dryver through which you may access the Services.

"Authorized User" means any family member, co-worker, or associate added to an Account by the Account Holder in accordance with the applicable Membership Tier limits set forth in Section 4.

"Booked Trip" means a confirmed reservation made through the Applications for a Driver to operate your Vehicle during a specified period.

"Charges" means all fees payable by you in connection with the Services, including Membership Fees, hourly service charges, Cancellation Fees, No-Show Fees, and any other applicable fees.

"Driver" means an independent third-party individual made available through the Services solely to operate a Vehicle at your request during a Booked Trip, and who is not an employee, agent, or representative of Jeevz/Dryver.

"Membership Fee" means the recurring subscription fee associated with a paid Membership Tier (Plus, Concierge, or Corporate), as further described in Section 6.

"Membership Tier" means one of the service levels offered by Jeevz/Dryver: Basic (Transactional), Plus, Concierge, or Corporate.

"Payment Method" means a valid credit card, debit card, or other payment instrument designated in your Account.

"Service Credits" means non-cash, non-transferable credits issued to an Account that may only be applied toward future Jeevz/Dryver Services, as further described in Section 7.

"Vehicle" means a passenger motor vehicle you are lawfully authorized to possess and permit a Driver to operate, that is registered, insured, and maintained in compliance with applicable laws and these Terms, and that is used in connection with a Booked Trip through the Services.

Capitalized terms used in these Terms but not otherwise defined in this section have the meanings assigned to them elsewhere in these Terms.

1. Contractual Relationship

These Terms, together with any applicable Supplemental Terms and the Jeevz/Dryver Privacy Policy, constitute the entire agreement between you and Jeevz/Dryver with respect to the subject matter hereof and expressly supersede any prior agreements or understandings between you and Jeevz/Dryver. Your Account, your Membership, and access to the Services may be suspended or terminated at any time by Jeevz/Dryver for any reason, as further described in Section 5 (Termination). Supplemental terms, additional policies, or product-specific rules may apply to certain services, events, programs, promotions, or Membership Tiers. Those supplemental terms form part of these Terms and will prevail in the event of conflict. Jeevz/Dryver's collection and use of personal information is governed by the Jeevz/Dryver Privacy Policy.

2. Arbitration Agreement

2.1 Agreement to Binding Arbitration

By creating an Account or otherwise using the Services, you agree to resolve all disputes, claims, or controversies with Jeevz/Dryver exclusively through individual, binding arbitration—not through jury trials, class actions, or representative proceedings—if the dispute, claim, or controversy arises out of or relates to:

  • these Terms (including formation, validity, enforcement, breach, modification, or termination); or
  • your access to or use of the Services.

2.2 Exception for Sexual Assault/Harassment Claims

You may elect to bring sexual assault or harassment claims in court. Jeevz/Dryver will honor that election but does not waive the enforceability of this Arbitration Agreement for any other claims.

2.3 Class Action Waiver

You may bring claims only on an individual basis. No class, collective, consolidated, or representative actions are permitted.

2.4 Governing Law for Arbitration

Arbitration is administered by the American Arbitration Association ("AAA") under the Consumer Arbitration Rules. The Federal Arbitration Act governs this Arbitration Agreement.

2.5 Arbitration Process Summary

  • A written demand for arbitration is required.
  • The arbitrator will be a retired judge or qualified attorney selected from the AAA roster.
  • Unless otherwise agreed, arbitration will be held in your county of residence.
  • Claims under $10,000 may be resolved via documents only.
  • Arbitrator decisions are final and binding but non-precedential. Jeevz/Dryver pays all arbitration fees for claims under $75,000 unless the claim is frivolous.

2.6 Rejection of Changes

If Jeevz/Dryver amends this Arbitration Agreement in the future, you may reject the changes within thirty (30) days by notifying Jeevz/Dryver in writing in accordance with Section 21 (Notices).

2.7 Severability

If any provision of the Arbitration Agreement is deemed unlawful, the remaining terms remain enforceable.

3. The Services

3.1 Description of Services

The Services consist of the Applications, which allow you to arrange and schedule the use of a Driver to operate your Vehicle. The Services are available on both a Membership (subscription) basis and a Transactional (pay-as-you-go) basis, as further described in Section 6.

You acknowledge and agree:

  • Jeevz/Dryver is not a transportation company, taxi service, limousine service, chauffeur service, or common carrier.
  • Drivers are independent contractors, not employees of Jeevz/Dryver.
  • Jeevz/Dryver does not guarantee Driver availability, punctuality, or service quality.
  • Jeevz/Dryver may match or rematch you with a Driver based on location, availability, platform efficiency, safety considerations, and other factors.

3.2 License to Use Applications

Subject to compliance with these Terms, you are granted a limited, non-transferable, revocable license to use the Applications for personal, noncommercial use.

3.3 Restrictions

You may NOT:

  • copy, modify, or distribute the Applications;
  • reverse engineer or attempt to access source code;
  • scrape, data mine, interfere with, or overload the platform;
  • share Account credentials with anyone other than Authorized Users on your Account;
  • use the Services unlawfully or unsafely; or
  • resell, lease, or commercialize the Services without prior written permission.

3.4 Third-Party Services

The Applications may integrate with third-party services. Jeevz/Dryver is not responsible for third-party content, terms, or privacy practices.

4. Access, Eligibility, and User Conduct

4.1 Account Requirements

To use the Services, you must:

  • be at least eighteen (18) years of age;
  • maintain accurate and up-to-date personal, payment, and Vehicle information;
  • use only one (1) active Account;
  • safeguard your login credentials; and
  • be legally able to enter into these Terms.

The Services are not available if your Account (or any previous Account) has been temporarily or permanently deactivated, suspended, terminated, or cancelled.

4.2 Authorized Users and Account Sharing

Depending on your Membership Tier, the Account Holder may add Authorized Users to the Account as set forth below.

4.2.1 Tier-Based Authorized User Limits

  • Basic (Transactional) Members: No additional Authorized Users. The Account is for the individual Account Holder only.
  • Plus Members: Up to three (3) additional family members (spouse, parent, or child residing in the same home as the Account Holder), for a total of four (4) people on the Account.
  • Concierge Members: Up to four (4) additional family members, co-workers, or associates, for a total of five (5) people on the Account.
  • Corporate Members: As specified in the applicable Corporate Membership agreement.

4.2.2 Account Holder Responsibility for Authorized Users

The Account Holder is solely responsible for ensuring that all Authorized Users comply with these Terms. By adding an Authorized User to an Account, the Account Holder represents and warrants that: (a) the Authorized User has been informed of and agrees to be bound by these Terms; (b) the Account Holder accepts full responsibility for all acts and omissions of each Authorized User in connection with the Services; and (c) any breach of these Terms by an Authorized User shall be deemed a breach by the Account Holder. Jeevz/Dryver may require each Authorized User to create their own Account and independently accept these Terms as a condition of accessing the Services. Such independent acceptance supplements, but does not replace, the Account Holder's obligations under this Section.

You may not allow any person other than the Authorized Users listed on your Account to use the Services under your Account. Persons under the age of eighteen (18) may not receive the Services unless accompanied by an Authorized User on the Account who is at least eighteen (18) years of age.

4.3 User Conduct

You may not use the Services:

  • while engaging in illegal, abusive, harassing, or unsafe conduct;
  • to transport illegal goods or hazardous materials;
  • if your Vehicle is unsafe, unregistered, or uninsured; or
  • to misrepresent identity or impersonate others.

4.4 Drivers' Right to Decline Service

Drivers may decline service if:

  • you are intoxicated, threatening, violent, armed, or unsafe;
  • the Vehicle is unfit to drive; or
  • any other safety concern is present.

5. Termination

Jeevz/Dryver may suspend or terminate any Account or access to the Services at any time and for any reason, subject to applicable law. Upon termination, your license to use the Applications immediately terminates, scheduled trips may be cancelled, and all outstanding amounts become immediately due. Sections that by their nature should survive termination shall survive, as further described in Section 17 (Survival).

6. Membership Tiers, Billing, and Charges

6.1 Membership Tiers

Jeevz/Dryver offers the following Membership Tiers. Specific plan details, features, and current pricing are available on the Jeevz/Dryver website and within your Account:

Basic (Transactional) Membership. The Basic Membership has no monthly or annual fee ($0/month). Basic Members pay an hourly rate of $55 per hour with a two (2) hour minimum per booking. This tier is designed for occasional, pay-as-you-go use with no ongoing commitment and no recurring Membership Fee.

Plus Membership. The Plus Membership is available at $99 per month or $999 per year. Plus Members pay a reduced hourly rate of $39 per hour with a minimum booking of two (2) hours per trip. The Plus Membership includes the ability to add up to three (3) family members, priority booking, preferred Driver selection, and other benefits as described on the Jeevz/Dryver website.

Concierge Membership. The Concierge Membership is available at $199 per month or $2,199 per year. Concierge Members pay an hourly rate of $39 per hour with a minimum booking of two (2) hours per trip and receive an elevated, white-glove experience including the ability to add up to four (4) family members, co-workers, or associates, concierge-level booking assistance, access to valet and event Drivers, priority booking on busy weekends, and other premium benefits as described on the Jeevz/Dryver website.

Corporate Membership. The Corporate Membership is available at custom pricing tailored to the organization's needs. Corporate Membership details, including the number of Authorized Users, hourly rates, minimum booking durations, and additional benefits, are established in a separate Corporate Membership agreement between Jeevz/Dryver and the corporate client.

6.2 Free Trial

When you sign up for a Plus or Concierge Membership, you will receive a fourteen (14) day free trial period beginning on the date of enrollment. During the free trial period, you may use the Services at the applicable Membership hourly rate (e.g., $39 per hour for Plus and Concierge) without being charged the Membership Fee. Your Membership Fee will be charged on the fourteenth (14th) day following enrollment unless you cancel your Membership before that date. If you cancel during the free trial period, you will not be charged a Membership Fee, but you will remain responsible for any hourly service Charges incurred during the trial. For Corporate Memberships, the free trial period, applicable hourly rates during the trial, and any other trial terms shall be as specified in the Corporate Membership agreement.

6.3 Recurring Charges and Auto-Renewal

If you select a Plus, Concierge, or Corporate Membership, your Membership is an automatically renewing subscription requiring recurring payments and will continue until cancelled. Your Membership Fee will be charged on a recurring basis (monthly or annually, as applicable) to the Payment Method on file in your Account. You may cancel your Membership at any time through the Jeevz/Dryver mobile application or by contacting Jeevz/Dryver using the information provided in Section 22 (Contact Information). You authorize Jeevz/Dryver to:

  • store your Payment Methods;
  • charge Membership Fees; and
  • charge trip-related fees, tips, and other applicable charges.

If your primary Payment Method fails, secondary Payment Methods on file may be used. Jeevz/Dryver may suspend or restrict access to the Services for accounts with outstanding balances or failed payments.

6.4 Membership Fees Are Nonrefundable

All Membership Fees are nonrefundable once charged. Cancellation of your Membership will take effect at the end of the current billing cycle, and you will continue to have access to Membership benefits through the remainder of that cycle. No partial or prorated refunds will be issued for unused portions of a billing cycle. For annual Memberships, this means that if you cancel at any point during the annual term, you will not receive a refund for the remaining months of that term.

6.5 Other Charges

You understand that in addition to any Membership Fees, use of the Services will result in hourly service Charges and may result in additional Charges, including but not limited to Cancellation Fees, No-Show Fees as described in Section 10, and any parking, tolls, or other incidental expenses incurred in connection with a Booked Trip. Billing begins at the scheduled pickup time or trip start time, whichever occurs first, and includes any waiting time during the Booked Trip. Where free or validated parking is not available, Jeevz/Dryver may pass through reasonable costs necessary for the Driver to perform the Services. Gratuities are optional unless otherwise specified and may be added through the Applications. Except where prohibited by law or expressly stated otherwise in your Membership, all Charges are nonrefundable once assessed.

6.6 Membership Changes

You may upgrade or downgrade your Membership Tier at any time through the Jeevz/Dryver mobile application or by contacting Jeevz/Dryver. Upgrades will take effect at the start of your next billing cycle, and a prorated charge for the difference may apply for the remainder of the current cycle. Downgrades will take effect at the end of the current billing cycle, and no refund will be issued for the difference. Jeevz/Dryver reserves the right to modify the tier-change process and will provide reasonable notice of any material changes to this policy.

6.7 Price Changes

Jeevz/Dryver reserves the right to change Membership Fees and other Charges at any time. You will be provided at least thirty (30) days' prior written notice of any price increase, delivered to the email address associated with your Account or through the Applications, before the change takes effect. Your continued use of the Services after the effective date of a price change constitutes your acceptance of the new pricing. If you do not agree to a price change, you may cancel your Membership before the change takes effect in accordance with Section 6.4.

7. Insurance; Umbrella Policy; Service Credits

7.1 Primary Coverage

You acknowledge that your personal auto insurance is primary whenever a Driver operates your Vehicle. You represent and warrant that your personal auto insurance policy and any endorsements applicable to your Vehicle permit operation by a Driver and do not exclude coverage for such use. You further represent that your Vehicle is insured in compliance with applicable law and any lender or lessor requirements. You agree to indemnify, defend, and hold harmless Jeevz/Dryver from and against all losses, liabilities, damages, fines, penalties, costs, and expenses (including reasonable attorney's fees) arising out of or related to any inaccuracy or breach of your representations in this Section.

7.2 Service Credits Toward Deductible

If a Driver is determined to be at fault for any accident or damage, and concrete proof is submitted within thirty (30) days of the incident (such as video evidence, a police report, or similar documentation), Jeevz/Dryver may issue Service Credits to your Account toward your insurance deductible. Service Credits are not cash, are not transferable, are not redeemable for cash, and may only be applied toward future Jeevz/Dryver Services. The maximum Service Credit amounts based on Membership Tier are as follows:

  • Basic (Transactional) Members: Not eligible for Service Credits.
  • Plus Members ($99/month or $999/year): Up to $500 in Service Credits.
  • Concierge Members ($199/month or $2,199/year): Up to $1,000 in Service Credits.
  • Corporate Members: Up to $2,000 in Service Credits.

7.3 Umbrella Policy Overview

Jeevz/Dryver maintains an umbrella liability policy for additional liability protection, subject to the terms below and the policy's actual terms, conditions, and exclusions. Any umbrella liability policy maintained by Jeevz/Dryver is intended to apply secondary and in excess of your applicable and collectible primary insurance, including your personal auto insurance and any other available insurance, when:

  • (a) a covered claim arises from the use of the Services during a Booked Trip with a Driver operating your Vehicle; and
  • (b) the applicable primary limits are exhausted by payment of covered losses.

7.4 Umbrella Policy Exclusions

Without limiting the policy's exclusions, any umbrella liability policy held by Jeevz/Dryver will not apply to:

  • (a) any claim within or below primary insurance limits;
  • (b) first-party losses, including damage to your own Vehicle, diminished value, loss of use, or personal property;
  • (c) intentional, criminal, fraudulent, or grossly negligent acts;
  • (d) use of a Vehicle that is unregistered, materially unsafe, or not in compliance with law;
  • (e) cargo or hazardous materials;
  • (f) non-trip activities, off-platform arrangements, or periods not booked through the Applications;
  • (g) punitive or exemplary damages to the extent uninsurable; or
  • (h) contractual liabilities you assume outside these Terms.

7.5 Policy Controls

All coverage is subject to the umbrella insurer's policy wording, endorsements, definitions, limits, sublimits, deductibles/retentions, conditions, and exclusions, which control in the event of any conflict with these Terms.

7.6 Driver Insurance

All Drivers are required to maintain their own personal automobile insurance. Driver insurance serves as excess coverage in the event that the client's primary Vehicle insurance limits are exceeded, and also provides coverage for any incidents involving the Driver's own vehicle while entering or exiting a client's property in connection with the Services.

8. Assumption of Risk; Ownership of Vehicle

8.1 Assumption of Risk

You acknowledge that operating and riding in motor vehicles involves inherent risks, including collisions, sudden stops, adverse road or weather conditions, other drivers' negligence, and vehicle malfunction. You voluntarily assume all such risks arising from your use of the Services and the operation of your Vehicle by a Driver arranged through the Services, including risks of property damage, personal injury, or death, except to the extent caused by the gross negligence or willful misconduct of Jeevz/Dryver. You are solely responsible for ensuring your Vehicle is legally compliant, registered, insured, and in safe operating condition prior to any trip.

8.2 Ownership of Vehicle

You represent and warrant that you have a lawful right to operate the Vehicle and have authority to permit a Driver to operate the Vehicle, and that you will provide proof of the foregoing upon request. You agree to indemnify, defend, and hold harmless Jeevz/Dryver from and against all losses, liabilities, damages, fines, penalties, costs, and expenses (including reasonable attorney's fees) arising out of or related to any inaccuracy or breach of your representations in this Section.

9. Disclaimers, Liability Waiver, and Indemnity

9.1 Disclaimers

The Services are provided "as is" and "as available." You may submit a booking request at any time; however, all bookings require advance notice as set forth in Section 10, and fulfillment of all bookings is subject to Driver availability. Jeevz/Dryver customer support is available during business hours as posted on the Jeevz/Dryver website and within the Applications; support inquiries submitted outside of business hours will be addressed during the next business day.

Jeevz/Dryver does not guarantee:

  • Driver availability, punctuality, or successful completion of a trip;
  • safety or condition of any Vehicle; or
  • uninterrupted or error-free platform performance.

Jeevz/Dryver disclaims all representations and warranties, express, implied, or statutory, not expressly set out in these Terms, including the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

9.2 Liability Waiver

9.2.1 Broad Waiver

To the maximum extent permitted by law, you waive and release any and all claims, demands, actions, and causes of action against Jeevz/Dryver arising out of or related to: (a) property damage or loss; (b) bodily injury or death; (c) consequential, incidental, special, punitive, or exemplary damages; and (d) loss of profits, data, use, or business, in each case arising from or related to your use of the Services, your Vehicle, or the acts or omissions of Drivers or third parties, except to the extent directly caused by the gross negligence or willful misconduct of Jeevz/Dryver.

9.2.2 State Law Preservation

Nothing herein waives rights that cannot be waived as a matter of applicable law. The enforceability of the waivers set forth in this Section may vary by state; some states do not permit waivers of certain claims, including bodily injury or death.

9.3 Indemnity

You agree to indemnify and hold Jeevz/Dryver and its affiliates, subsidiaries, parents, successors, assigns, and their officers, directors, employees, and agents harmless from any and all claims, demands, losses, liabilities, damages, and expenses (including attorney's fees) arising out of or in connection with:

  • your use of the Applications, Services, or any activities related thereto;
  • your Vehicle ownership, use, or operation;
  • your breach or violation of any of these Terms; or
  • your violation of law or the rights of any third party, including independent contractors, other users, Drivers, other motorists, and pedestrians.

10. Booking Requirements, Cancellation, and No-Show Policy

10.1 Advance Booking Requirements

All standard trip reservations require a minimum of one (1) hour of advance notice prior to the requested pickup time. Overnight or multi-day trip reservations require a minimum of seventy-two (72) hours of advance notice prior to the requested pickup time.

10.2 Cancellation Policy

Standard Trips. Standard trip reservations may be cancelled up to one (1) hour prior to the scheduled pickup time at no charge. Reservations cancelled with less than one (1) hour's notice prior to the scheduled pickup time will incur a $100 Cancellation Fee. Cancellations made within the first twenty-four (24) hours after booking will not incur a Cancellation Fee, provided that the scheduled pickup time is more than twenty-four (24) hours after the time of booking. If the scheduled pickup time is within twenty-four (24) hours of the time of booking, standard cancellation notice requirements apply from the moment of booking.

Overnight and Multi-Day Trips. Overnight and multi-day trip reservations cancelled with less than forty-eight (48) hours' notice prior to the scheduled pickup time will incur a $300 Cancellation Fee. Cancellations made within the first twenty-four (24) hours after booking will not incur a Cancellation Fee, provided that the scheduled pickup time is more than forty-eight (48) hours after the time of booking.

10.3 No-Show Policy

Drivers will wait up to forty-five (45) minutes after your scheduled pickup time to make contact with you. If you have not made contact with your Driver or Jeevz/Dryver within forty-five (45) minutes of the scheduled pickup time, your reservation will be considered a "No Show," the Booked Trip will be cancelled, and you will incur a $150 No-Show Fee. Except where prohibited by law or expressly stated otherwise in your Membership, Cancellation Fees and No-Show Fees are nonrefundable once assessed. Following a No Show, you may book a new trip subject to the standard advance booking requirements set forth in Section 10.1.

11. Intellectual Property

11.1 Proprietary Rights

All intellectual property associated with the Applications and Services—including trademarks, logos, designs, graphics, icons, scripts, service names, and proprietary content—are owned exclusively by Jeevz/Dryver and its licensors.

11.2 Restrictions

You shall not:

  • (a) copy, modify, distribute, publicly display, or create derivative works from the Applications or Services;
  • (b) reverse engineer, decompile, disassemble, or attempt to derive source code;
  • (c) scrape, data mine, or extract data from the platform;
  • (d) bypass security controls or rate limits;
  • (e) resell, sublicense, or commercialize the Services without prior written consent; or
  • (f) use the intellectual property to build or train competing products, models, or services.

11.3 Infringement Consequences

Any breach of this Section is a material breach and may result in immediate suspension or termination, injunctive relief, specific performance, and the recovery of actual damages.

11.4 Feedback

By submitting feedback, you grant Jeevz/Dryver a perpetual, irrevocable, worldwide, royalty-free license to use, reproduce, modify, and commercialize such feedback without restriction.

12. Off-Platform Transactions Prohibited; Disclaimer

12.1 No Circumvention

You agree not to solicit, arrange, accept, or engage any Driver or service provider discovered through the Services, Applications, or your Account for any transportation or driving-related services outside the Applications without prior written consent from Jeevz/Dryver.

12.2 No Coverage or Liability

Off-platform or non-booked activities are outside the Services, and Jeevz/Dryver disclaims any responsibility, coverage, or liability arising from such activities to the maximum extent permitted by law. The umbrella policy will not apply to non-trip activities, off-platform arrangements of any kind, or periods not booked through the Applications.

13. Confidentiality

13.1 Confidential Information

You agree to keep confidential and not disclose to any third party any non-public information obtained from or about Jeevz/Dryver through the Services, including business methods, pricing, insurance program details, platform architecture, safety protocols, risk controls, and non-public communications, except as required by law or for legal or financial advice under a duty of confidentiality.

13.2 Use Restrictions

You will not use confidential information for any purpose other than accessing and using the Services in accordance with these Terms.

13.3 Injunctive Relief

Unauthorized use or disclosure of confidential information may cause irreparable harm; Jeevz/Dryver may seek injunctive or equitable relief in addition to other remedies to prevent or curtail any actual or threatened breach.

14. Independent Contractor Disclaimer

14.1 Independent Contractors

You acknowledge that Drivers available via the Services are independent contractors and not employees, agents, or legal representatives of Jeevz/Dryver.

14.2 No Vicarious Liability

To the maximum extent permitted by law, Jeevz/Dryver disclaims liability for acts or omissions of its Drivers and other third parties, except where liability is imposed by non-waivable applicable law.

15. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Florida, U.S.A., without giving effect to any conflict of law principles, except as otherwise provided in the Arbitration Agreement (Section 2), which is governed by the Federal Arbitration Act.

16. Assignment

You may not assign these Terms without the prior written consent of Jeevz/Dryver. Jeevz/Dryver may assign these Terms without restriction.

17. Survival

The following provisions, and any other provisions that by their nature are intended to survive, will survive any expiration, cancellation, or termination of these Terms or your Account: all indemnification obligations; confidentiality and privacy commitments; limitations of liability, disclaimers, and waivers; dispute resolution provisions (including arbitration, class action waiver, forum selection, and governing law); intellectual property ownership, use restrictions, feedback license, and infringement remedies; payment obligations (including outstanding Charges, fees, and reimbursements); assignment restrictions; and severability.

18. Severability

If any section of these Terms is determined to be invalid, illegal, or unenforceable in any respect, such determination shall not affect the validity, legality, or enforceability of the remaining provisions, which shall remain in full force and effect. The parties agree to replace any such invalid provision with a valid provision that most closely reflects the original intent.

19. Waiver

No failure or delay by Jeevz/Dryver in exercising any right, power, or privilege under these Terms shall operate as a waiver thereof, nor shall any single or partial exercise of any right, power, or privilege preclude any other or further exercise thereof or the exercise of any other right, power, or privilege. No waiver by Jeevz/Dryver of any breach or default shall be deemed a waiver of any subsequent breach or default of the same or any other provision.

20. Force Majeure

Jeevz/Dryver shall not be liable for any delay or failure to perform its obligations under these Terms to the extent caused by circumstances beyond Jeevz/Dryver's reasonable control, including without limitation acts of God, natural disasters, pandemic, epidemic, war, terrorism, civil unrest, government action or regulation, labor disputes, power outages, or internet or telecommunications failures ("Force Majeure Event"). In the event of a Force Majeure Event, Jeevz/Dryver will use commercially reasonable efforts to resume performance as soon as practicable and will notify affected users through the Applications or the email address associated with your Account.

21. Notices

Any notices or other communications required or permitted under these Terms shall be in writing. Notices to Jeevz/Dryver shall be delivered to the address set forth in Section 22 (Contact Information). Notices to you will be sent to the email address associated with your Account. Notices are deemed delivered: (a) upon delivery if sent by hand; (b) one (1) business day after sending if sent by overnight courier; (c) three (3) business days after mailing if sent by certified mail, return receipt requested; or (d) upon transmission if sent by email to the address on file, provided no delivery failure notification is received. It is your responsibility to maintain a current and accurate email address in your Account.
